This License Agreement ("Agreement") is entered into by and between Hidrobe ("Licensor") and the end user ("Licensee"). By using the software, applications, and services provided by Hidrobe, Licensee agrees to the terms and conditions of this Agreement.
Licensor grants Licensee a non-exclusive, non-transferable license to use the software and services provided by Hidrobe for personal or business purposes, subject to the terms and conditions set forth in this Agreement.
Licensee shall not:
All rights, title, and interest in and to the software, including all intellectual property rights, are and shall remain the sole property of Hidrobe. Licensee does not acquire any rights, express or implied, other than those expressly granted in this Agreement.
Licensor may provide updates and upgrades to the software from time to time. Such updates and upgrades shall be governed by the terms of this Agreement unless separate terms are provided at the time of installation.
This Agreement is effective until terminated. Licensee may terminate this Agreement at any time by ceasing all use of the software and services. Licensor may terminate this Agreement immediately if Licensee breaches any term of this Agreement. Upon termination, Licensee must destroy all copies of the software in their possession.
The software is provided "as is" without warranty of any kind. Licensor disclaims all warranties, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from Licensee's use of the software.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Hidrobe is located, without regard to its conflict of law principles.
This Agreement constitutes the entire agreement between Licensor and Licensee regarding the use of the software and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
